Terms of Service

By creating an account, connecting a Google Workspace, or using any Specter Systems service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not accept the Terms, do not access or use the Service.

Specter Systems is a cloud platform that ingests and organizes Gmail and Drive content, automates document redaction, OCR, and metadata tagging, and synchronizes data with customer-designated CRMs and other integrations. We may add, modify, or remove features at any time.

You must provide accurate, current information, maintain the security of your credentials, and promptly notify Specter Systems of any unauthorized use. You are responsible for all activity that occurs under your account.

Subject to these Terms and any payment of applicable fees, Specter Systems grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

You may not reverse-engineer or create derivative works of the Service, use the Service to violate law, third-party rights, or Google API policies, or resell or make the Service available to unaffiliated third parties without our written consent.

Your use authorizes Specter Systems to process email messages, Drive files, user and group records, and related metadata solely to deliver the Service. We handle that data under our Privacy Policy and the Google API Services User Data Policy.

You retain all ownership rights in your content. We receive no rights other than those necessary to perform the Service.

Fees, billing cycles, and payment terms are set forth on your order form or in-app plan. Subscriptions renew automatically unless cancelled before the end of the current term.

Overdue amounts may incur interest at 1.5% per month (or the maximum rate permitted by law) and may result in suspension of Service.

Specter Systems and its licensors own all intellectual-property rights in the Service, software, and branding. Aside from the limited license in Section 4, no rights are granted to you.

Each party shall protect the other party's non-public business, technical, or financial information with at least the same care it uses to protect its own similar information and may disclose it only to personnel and service providers who need to know and are bound by confidentiality obligations.

This section survives termination.

The Service interoperates with Google APIs and other third-party products at your direction. Specter Systems is not responsible for third-party services, their availability, or their terms. Disabling a required integration may limit functionality.

We may offer pre-release or beta features. Such features are offered "AS IS" with no warranties and may be discontinued at any time. You assume all risk of use.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECTER SYSTEMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SPECTER SYSTEMS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, NOR THAT IT WILL MEET YOUR REGULATORY OBLIGATIONS.

TO THE FULLEST EXTENT PERMITTED BY LAW, SPECTER SYSTEMS' TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE DURING THAT PERIOD.

IN NO EVENT WILL SPECTER SYSTEMS BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

You agree to defend, indemnify, and hold harmless Specter Systems and its affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising out of or related to your content, your breach of these Terms, or your violation of law or third-party rights.

These Terms remain in effect until your subscription ends or your account is terminated. Either party may terminate for material breach after 30 days written notice if the breach is not cured.

Upon termination, your license ends and Specter Systems will delete or return your content in accordance with the Privacy Policy.

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. All disputes shall be resolved in the state or federal courts located in Los Angeles County, and the parties consent to that exclusive jurisdiction and venue.

The U.N. Convention on Contracts for the International Sale of Goods does not apply.

We may update these Terms from time to time. Material changes will be posted in-app or emailed at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.
